Acceptance

By accessing or using Matter Vault, you agree to these Terms on behalf of your law firm. If you do not agree, do not use the platform.

Who can use Matter Vault

Matter Vault is intended for use by licensed law firms and their authorized staff. You must be at least 18 years old and authorized to bind your firm to these Terms.

Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@matter-vault.com if you believe your account has been compromised.

Each user account is personal and may not be shared. Firms are responsible for deactivating accounts of staff who leave.

Your data

Your firm owns all data you enter into Matter Vault — matters, documents, client information, time entries, and communications. We do not claim any ownership over your data.

You grant Matter Vault a limited license to store, process, and display your data solely to provide the platform to you. We will never use your data for any other purpose.

Acceptable use

You agree not to:

  • Use Matter Vault for any unlawful purpose
  • Upload content that infringes third-party intellectual property rights
  • Attempt to gain unauthorized access to any part of the platform
  • Reverse engineer or copy any part of the platform
  • Use the platform to store or transmit malicious code

Google Drive integration

Matter Vault connects to your firm's Google Drive to store matter documents. You are responsible for maintaining your firm's Google Drive account and ensuring your firm's Google Workspace policies permit this integration. Matter Vault is not responsible for data loss resulting from changes to your Google account or Drive permissions.

Service availability

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications at any time. We will make reasonable efforts to notify firms of planned downtime.

Fees and billing

Matter Vault is currently provided to early-access firms at no charge. Future pricing will be communicated to firm administrators at least 30 days before taking effect.

Termination

Either party may terminate at any time. Upon termination we will provide a reasonable opportunity to export your data before deletion. We may suspend or terminate accounts that violate these Terms without notice.

Limitation of liability

To the maximum extent permitted by law, Layer Eight Consulting LLC is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of Matter Vault. Our total liability to you will not exceed the fees you paid us in the 12 months preceding the claim.

Governing law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.

Changes

We will notify firm administrators by email of material changes at least 14 days before they take effect. Continued use after that date constitutes acceptance.
